The <a href=\"https:\/\/minjust.gov.by\/directions\/unified_state_register\/state_registration_liquidation\/\">registering authority<\/a>, usually the regional or Minsk City Executive Committee, processes changes quickly and on an application basis, without reviewing the merits, often within one working day. But until the entry is made, nothing has changed as far as the state, the bank or your counterparties are concerned. The <a href=\"https:\/\/egr.gov.by\/\">register<\/a> is what counts legally; your resolution is simply an instruction to update it. Until that registration, the former shareholder remains the <a href=\"https:\/\/opencompanyinbelarus.com\/eng\/news\/can-foreigner-own-100-percent-company-belarus\/\">owner<\/a> on paper, whatever the transfer agreement says. One structural point: a <a href=\"https:\/\/opencompanyinbelarus.com\/eng\/pages\/open-puclic-company-in-belarus\">joint-stock company<\/a> works differently. The good news for foreign owners is that most of this can be handled remotely by a representative acting under a properly drafted power of attorney. You do not need to fly in to change your <a href=\"https:\/\/opencompanyinbelarus.com\/eng\/pages\/open-company-in-belarus\/\">company\u2019s<\/a> director or bring in a new shareholder. The company now has one director in practice and another on the record, a contract it never wanted and a frozen account \u2014 all because of a decision that was correct but never registered. The resolution was real; the change was not.
