Most ordinary companies \u2014 say, a small LLC that falls into no special category and has not crossed the revenue threshold \u2014 simply do not need one. Only a defined group must be audited: open joint-stock companies (OJSCs) required to disclose information, banks and insurers, professional securities market participants, residents of the High-Technology Park (HTP) and companies whose revenue last year exceeded a high threshold. The auditor\u2019s job is also narrower than many people imagine: to give an independent opinion on whether the company\u2019s annual financial statements are reliable and prepared in line with accounting rules. It is not a tax inspection, and it is not a fraud investigation. Nor does passing an audit release the company from liability for any breach the audit uncovers. In short, an audit is an independent professional\u2019s opinion on whether the numbers can be relied on: useful to many companies and mandatory for some, but much narrower than the general dread of \u201cbeing audited\u201d suggests.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Who_must_be_audited\"><\/span><strong>Who must be audited<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The mandatory list is specific. An annual audit of the <a href=\"https:\/\/etalonline.by\/document\/?regnum=h11300056\">financial statements<\/a> \u2014 individual statements and, for a group, <a href=\"https:\/\/opencompanyinbelarus.com\/eng\/news\/holding-structures-belarus\/\">consolidated<\/a> ones \u2014 is required for: open joint-stock companies obliged to disclose information; banks, banking groups and non-bank credit and financial institutions; insurance companies and insurance brokers; stock exchanges and professional securities market participants; residents of the High-Technology Park; and any other company whose revenue for the previous year exceeded a high threshold, currently 500,000 base values. If your company is on that list, it needs an annual statutory audit. If it is not, read on: chances are you are exempt. The key point is that mandatory audit depends on a list and a threshold; it does not apply to companies across the board.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"The_revenue_threshold_in_practice\"><\/span><strong>The revenue threshold in practice<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Most borderline cases are decided by the threshold, so it pays to understand how it works. The test is the company\u2019s sales revenue for the previous reporting year, measured against the level set by law \u2014 currently 500,000 base values. A company below that level (and outside the special categories) does not need an audit; a company that exceeded it last year needs one this year. Two practical points follow. First, because last year\u2019s revenue determines this year\u2019s obligation, the position can change from year to year as turnover rises and falls: a company can move into mandatory audit and back out again. Second, because the threshold is expressed in base values, its value in Belarusian roubles depends on the base value in force, which the government revises periodically \u2014 so check the figure for the relevant year. The threshold is high enough that most small and medium-sized companies never reach it, which is exactly why most are exempt.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Who_is_exempt\"><\/span><strong>Who is exempt<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Now the good news \u2014 and the answer for most readers. A company that falls into none of the special categories and whose revenue is below the threshold does not need a statutory audit. That covers the vast majority of ordinary small and medium-sized <a href=\"https:\/\/opencompanyinbelarus.com\/eng\/pages\/open-llc-in-belarus\">LLCs<\/a>, including most foreign-owned trading and service <a href=\"https:\/\/opencompanyinbelarus.com\/eng\/pages\/open-company-in-belarus\/\">companies<\/a>. The law also provides specific exemptions for certain types of entities, such as consumer cooperatives, farms and companies in which the state holds a stake. So if you run an ordinary small company below the revenue threshold, the honest answer to \u201cDo I need an audit?\u201d is usually no. That means reviewing the accounting records behind the statements, checking for material misstatements, and assessing the reasonableness of estimates, the going-concern assumption and compliance with accounting rules. The work ends with an audit report containing an opinion: unqualified if the statements are reliable; qualified, adverse or a disclaimer of opinion if they are not. It is an opinion on reliability \u2014 not a certificate that the tax is correct and not a guarantee against fraud. That tells you both what an audit gives you (independent assurance on the numbers) and what it does not.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Reading_the_audit_opinion\"><\/span><strong>Reading the audit opinion<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Every audit ends with an opinion, and there are four kinds. For an owner, the opinion is the headline. A clean report is something you can show a bank or an investor; a qualified one points to something that needs fixing; an adverse opinion or a disclaimer is a problem that will not go away if ignored. For anyone reading a company\u2019s audit report \u2014 a counterparty, a buyer, a lender \u2014 the type of opinion is the first thing to check, before the numbers themselves. It is also worth stressing that qualified opinions are common and no cause for scandal. They often reflect a single, identifiable disagreement or limitation rather than unreliable accounts as a whole, so the sensible response is to read what the qualification is about and fix or explain it, not to panic. Two things make the process smoother. First, book your auditor early \u2014 scrambling in July is a poor way to meet a July deadline. With the groundwork done, the process is routine; without it, it is painful. First, establish whether you are in scope: are you in a mandatory category, or over the revenue threshold? If so, appoint an auditor from the audit register, complete the annual audit and meet the reporting deadline \u2014 information on the audit must reach the <a href=\"https:\/\/www.minfin.gov.by\/\">Ministry of Finance<\/a> by a set date, and evading a mandatory audit carries liability. If you are not in scope, a voluntary audit is still worth considering when a parent company, investor or buyer wants independent assurance on the numbers: it is a tool, not just an obligation. A parent company preparing group accounts often wants its Belarusian subsidiary audited. An incoming investor, or a buyer carrying out due diligence, will usually want independent assurance on the numbers before committing. A lender may make it a condition of financing. And an owner who simply wants confidence that the books are reliable can commission one for peace of mind. A voluntary audit is the same examination as a mandatory one, just undertaken by choice, and it produces the same kind of report you can hand to anyone who needs assurance. So \u201cnot required\u201d does not mean \u201cnot useful\u201d: for a company facing new investment, a sale or a cautious lender, a voluntary audit can be worth far more than it costs. There is a quieter benefit too. An owner who runs the company from abroad and relies on local accountants they cannot look over the shoulder of gets an independent check that the numbers they are shown are real. It is well below the revenue threshold and in none of the mandatory categories, so it does not need a statutory audit \u2014 and unless an investor or buyer comes along wanting assurance, there is no reason to commission a voluntary one either. The second, also an LLC, is a Hi-Tech Park resident. Whatever its size or turnover, it is on the mandatory list, so it must have its annual financial statements audited every year and report to the Ministry of Finance on time. Same country, same legal form, opposite obligations \u2014 determined by category and threshold, not by size alone. The lesson for any owner is to check both: are you in a mandatory category (such as the HTP), and did last year\u2019s revenue exceed the threshold? Answer those two questions and you know where you stand. Watch the borderline case in particular: a company that crossed the threshold last year without noticing is now subject to a mandatory audit it did not need the year before.
