line

Can you run a Belarusian company without ever setting foot in Belarus? A few years ago the honest answer was “not really.” Today it is “mostly yes” — and the gap between those two answers is one of the quieter but more consequential shifts in how a foreign owner can operate here. A company can be registered online, its reports filed electronically, and its documents signed with an electronic signature, all from a desk in another country.

But “mostly yes” is not “entirely yes,” and the value of understanding this properly is in knowing exactly where the line falls. Some things genuinely work from anywhere; a few still need a physical touch — a hand in Belarus, or your own presence at a particular moment. An owner who knows which is which can plan a genuinely remote operation and avoid the two opposite mistakes: assuming nothing can be done remotely, or assuming everything can.

This article maps that line. It explains the two things that make remote operation possible in the first place — the electronic register at egr.gov.by and the electronic digital signature — then sets out, task by task, what you can do from abroad and what still ties you to the ground here. It is written for the overseas founder or director who wants to open and run a Belarusian company without relocating, and who would rather know the real limits up front than discover them halfway through.

It also goes a step further than most guides, into the practical machinery that makes the model work in real life: how a power of attorney lets a trusted person in Belarus close the few gaps you cannot close yourself, how you keep the register current from abroad as the company changes, and how to look after the electronic signature that all of this depends on. Those are the details that separate a remote operation that runs smoothly from one that stalls at the first physical step.

The foundation: the Unified State Register and electronic registration

At the centre of all of this sits the Unified State Register of Legal Entities and Individual Entrepreneurs, accessible at egr.gov.by. It is the official register of Belarusian businesses, the authoritative record of who exists, who owns what and who is entitled to act. Every company lives in it, and much of what it means to “run” a company formally is really a matter of keeping its entry in the register accurate. It is also where a counterparty checks whether a company is real before dealing with it.

What matters for remote operation is that the register is not just a database to be read — it is a portal to be used. Belarus has built electronic registration of business entities through the web portal, which means the act of bringing a company into existence can be done online, by submitting the registration documents electronically rather than carrying them to a counter. For a foreign founder, this is the door that makes a remote start possible at all: the registration itself no longer requires a physical visit.

There is a deliberate incentive attached, too. Electronic registration through the web portal is exempt from the state duty that a paper registration would attract — so the online route is not merely more convenient but cheaper, a nudge the state has built in precisely to push registrations onto the electronic channel. For an owner weighing how to incorporate, that combination of remote and free is hard to argue with, provided the one prerequisite is in place: an electronic signature.

The electronic digital signature (EDS): the key that unlocks everything

If the register is the door, the electronic digital signature (EDS) is the key. Almost everything that can be done remotely depends on it, because it is the instrument that lets you sign and submit documents to the state electronically with full legal force. An electronically signed document carries the same legal weight as one signed by hand; that equivalence is what makes the whole remote model work, rather than being a mere convenience for low-stakes paperwork.

In Belarus, the EDS is issued within the State Public Key Infrastructure, through the National Centre for Electronic Services and its registration centres. It is not an informal “digital signature” of the kind a web form might generate; it is a regulated credential, tied to a verified identity and backed by the state’s own certification system. That rigour is the point — it is what lets the register, the tax authorities and counterparties trust a document that no one ever physically signed in front of them.

For a foreign owner, the EDS is therefore the thing to secure early, because it gates so much of what follows. With it, you can register, file, report and sign from abroad; without it, you are back to paper and presence. The practical catch — covered in its own section below — is that obtaining the signature in the first place involves a verification step that is itself not always fully remote. But once it is in hand, it is the single credential that turns a Belarusian company into one you can genuinely operate from anywhere.

What you can do remotely — and what still needs a local touch

The honest map of remote operation is not “everything” or “nothing” but a mixture, and knowing the mixture is what lets you plan. The table below sorts the main tasks of running a Belarusian company into what works fully from abroad, what works with a caveat, and what still ties you — or a representative — to the ground in Belarus.

Task

Fully remote?

How it works

Register the company (egr.gov.by web portal)

Yes

Electronic filing with an EDS; no state duty

File tax, social-fund & statistical reports

Yes

Electronic submission with an EDS

Sign documents and contracts

Yes

EDS / electronic document management

Day-to-day management as director

Mostly

Remote is fine; a few acts need a local hand

Obtain the EDS (e-signature) itself

Partly

Identity step, often via a local representative

Have a legal address

No

Must be a Belarusian registered address

Open a corporate bank account

Often not

Bank KYC frequently needs presence

Running a Belarusian company from abroad, task by task. The two pink rows are where most of the real planning goes.

Bridging the gaps: handling the steps that aren’t fully remote

The practical art of running a Belarusian company from abroad is knowing how to handle each step that cannot simply be clicked through — usually by using a trusted person on the ground, a home-country procedure, or a service arranged locally. The table below takes the steps that are not fully remote and sets out the options for each.

Step that isn’t fully remote

Your options

Remote-friendly?

Getting the EDS

Visit a registration centre, or appoint a local representative under power of attorney

Yes, via a representative

Opening the bank account

Appear in person, use a representative, or a bank offering remote onboarding

Bank-dependent

Holding a legal address

Arrange a registered address as a service

Yes

Preparing foreign documents

Legalise or apostille and translate in your own country

Partly — a home-country step

Changing the register entry later

File the change electronically with the EDS

Yes

Signing ongoing contracts & filings

EDS / electronic document management

Yes

How to bridge the steps that aren’t fully remote. Green = fully remote; blue = remote via a representative or a home-country procedure; pink = usually still needs presence or depends on the bank.

Two of the gaps all but disappear once you see the bridge. Getting the electronic signature and dealing with later registrations both become effectively remote when a local representative can act under a power of attorney — the representative attends in person where attendance is required, while the decisions stay with the owner abroad. The legal address and ongoing e-filing were never really obstacles, because one is a service and the other is exactly what the EDS is for.

That leaves the bank account as the one genuinely stubborn case, and even it is a matter of degree rather than an absolute. Some banks will onboard through a representative or offer remote identification; others insist on seeing the authorised person. The honest planning posture is to treat the bank as the step that may require a trip or careful arrangement, solve the rest through a representative and the electronic channel, and not let the one hard step create the impression that the whole enterprise demands presence. It does not — it demands a good bridge over two or three specific gaps.

Power of attorney: the remote owner’s bridge

If there is one instrument that makes remote operation genuinely workable, it is the power of attorney. A great many of the steps that cannot be done online can be done by someone else on the owner’s behalf — and a properly drawn power of attorney is what authorises that someone to act. It is the mechanism that converts “this step needs a person in Belarus” into “this step is handled,” without the owner having to be that person.

In practice, a trusted representative acting under a power of attorney can attend where attendance is required, submit and collect documents, and deal with the authorities and institutions that expect a human presence — closing precisely the gaps that the electronic channel leaves open. The power of attorney itself, where it is granted by a foreign owner from abroad, is one of those documents that usually has to be legalised or apostilled and translated before it will be accepted in Belarus, so it is worth preparing early and drawing it widely enough to cover the steps it is meant to serve.

The judgement a remote owner has to make is one of scope and trust. A power of attorney should be broad enough to let the representative actually get things done, but no broader than the owner is comfortable with, because it is a grant of real authority to act in the owner’s name. The sensible course is to define clearly what the representative may do — collect the signature, deal with the bank, file particular documents — rather than hand over an open-ended mandate, and to use a representative whose reliability is beyond question. Handled with that care, the power of attorney is not a loophole but the ordinary, sanctioned way a foreign owner reaches into Belarus from a distance.

It is worth distinguishing the one-off power of attorney from the standing relationship, because they serve different purposes. For the setup — collecting the signature, handling the incorporation’s physical steps, opening the account — a focused, time-limited mandate aimed at those specific tasks is usually right. For the life of the company, an owner more often relies on a continuing arrangement with a service provider or accountant who holds a defined authority to act on recurring matters. Thinking about which you need, and keeping each mandate current and no wider than its purpose, saves both the risk of an over-broad grant and the friction of discovering, at an awkward moment, that no one on the ground is actually authorised to do the thing that needs doing.

Registering the company remotely: the online process

Putting the pieces together, a genuinely remote incorporation looks like this. The founder obtains an electronic signature, prepares the registration documents, and submits them electronically through the egr.gov.by web portal; the registration is processed and the company enters the register, without anyone having to appear at a counter. Because the filing goes through the portal, it is exempt from the state duty, and because it is electronic, it can be done from anywhere the founder happens to be. A company still needs a legal address in Belarus to be registered to, which is arranged as part of the setup, but the act of registering is an online one.

For a foreign founder there are a couple of extra threads to weave in. Documents originating abroad — a foreign passport, corporate documents of a foreign parent company, powers of attorney — generally need to be legalised or apostilled and translated before they can be used in a Belarusian registration, and that preparation runs on its own timeline. It is the part of a remote incorporation most likely to be underestimated, because it depends on authorities in the founder’s own country as much as on anything in Belarus.

None of this is to say a remote incorporation is effortless — it is a process with moving parts, and the electronic channel removes the need to travel rather than the need to do things properly. But the shift is real and worth appreciating: the thing that used to anchor company formation to a physical visit, the filing itself, is now something a founder can do from their own country, for no state duty, with a signature that the register treats as good as their own hand.

Running it day to day: reporting, filing and e-documents

Registration is a one-off; running a company is continuous, and this is where remote operation proves itself over time. The recurring obligations of a Belarusian company — tax returns, social-fund contributions, statistical reporting — can be filed electronically, submitted to the relevant authorities with the company’s electronic signature rather than on paper across a counter. For an owner abroad, this turns what would once have been a stream of physical filings into a set of online submissions.

In practice, most owners do not do this personally so much as oversee it. The routine of electronic reporting sits naturally with accounting support on the ground, which prepares and submits the filings on the company’s behalf under the proper authority, while the owner stays informed and in control from a distance. The electronic channel is what makes that division of labour clean: the accountant files electronically, the records are electronic, and the owner can see and approve what matters without being in the room. Remote operation, done well, is less about the owner personally clicking “submit” and more about a fully electronic back office that the owner can run from anywhere.

Electronic document management extends the same logic to the company’s own paperwork. Contracts, internal documents and records can live and move electronically, signed with the electronic signature and exchanged without physical originals. For a business whose counterparties and banks also work electronically, this can make the paper-free company a genuine reality rather than an aspiration — though, as an earlier section noted, not every counterparty and not every bank is equally far down that road, and the gaps are where a remote operation still feels friction.

Keeping the register current: making changes from abroad

A company is not static, and neither is its entry in the register. Over the life of a business, things change — a new director, a different legal address, a change of participants, an amended charter — and the register has to reflect them. Keeping that entry current is a real and ongoing part of running a company properly, because the register is what the state, the banks and counterparties rely on, and an out-of-date entry is a liability waiting to surface.

The reassuring part for a remote owner is that this upkeep is itself largely electronic. Changes to a company’s details are registered or notified through the same electronic machinery that created the company, filed with the electronic signature rather than in person. A change of director, a move to a new legal address, an amendment to the founding documents — these are, in the ordinary case, things a remote owner can keep on top of from abroad, which is exactly why the EDS is worth securing at the outset. The register you can file into remotely is also the register you can keep current remotely.

What a remote owner should not do is let the register drift. Because an entry in the register is public and relied upon — it is, after all, what others check before dealing with the company — a stale or inaccurate entry can cause real problems, from a counterparty’s doubt to a complication in a transaction. The discipline of keeping the register updated promptly as things change is part of the price of a smoothly running remote company, and it is a discipline the electronic channel makes much easier to keep than the old paper world ever did.

The sticking points: the bank, the signature and the address

An honest guide has to be clear about the limits, because they are where remote owners actually get stuck. Three recur, and each corresponds to one of the non-green rows in the tables above.

The first and hardest is the corporate bank account. Banks run their own identification and anti-money-laundering checks, and those checks are frequently the point at which “fully remote” breaks down — a bank may want the authorised person to appear, or to satisfy onboarding requirements that are difficult to meet from abroad. Practice varies between banks, and some are more accommodating to remote onboarding than others, but the bank account is reliably the step most likely to require presence or careful arrangement. It is worth planning for early rather than assuming it will fall into place like the filings do.

The second is the electronic signature itself. The EDS unlocks remote operation, but obtaining it involves verifying the identity of the person it will belong to, and that verification is not always a fully remote exercise. In practice the signature is often secured through a visit to a registration centre or, for a foreign owner who cannot easily attend, through a local representative acting under a proper power of attorney. It is a one-off hurdle rather than a recurring one — but it is a real one, and it sits at the very start, before the remote machinery can be switched on.

The third is the virtual address. A Belarusian company must be registered to an address in Belarus; a company cannot be run from abroad in the sense of having no footprint here at all. In practice this is the easiest of the three to solve, because a registered address can be arranged as a service rather than requiring the owner to hold premises — but it is a genuine requirement, not an optional extra, and it is part of what keeps a “remote” company tethered to a real place in Belarus. None of these three is a deal-breaker; each is simply a point where remote operation meets the ground, and where a little local help bridges the gap.

Keeping the e-signature secure

Because so much turns on the electronic signature, it deserves a word on its own about security, which remote owners sometimes overlook in their relief at how much it enables. The EDS is a powerful credential: it can sign on the company’s behalf with full legal force, which means whoever controls it can, in practice, do a great deal in the company’s name. That power is exactly why it has to be looked after with care, not treated as a convenience to be left lying around.

The signature is tied to a specific person and held on a secure carrier, and the sensible disciplines around it are the obvious ones taken seriously: control who physically holds the signature and its access credentials, be deliberate about whether the owner, a director or an accountant is the signature-holder for which purposes, and do not share the means to use it loosely. Where a representative or an accountant uses an electronic signature to file on the company’s behalf, it should be clear whose signature it is, what it is used for, and on what authority — not an informal arrangement that no one quite controls.

It is also worth knowing that a signature is not forever and not beyond recovery. An EDS has a validity period and is renewed; and if it is compromised, lost, or held by someone who should no longer have it — a departing director, for instance — it can be revoked and reissued. Building those moments into the way the company is run, so that the signature is renewed on time and re-secured whenever the people around it change, is part of keeping a remote operation both smooth and safe. The signature is the key to the whole model, and keys are worth guarding.

The foreign-founder angle: documents, presence and residence

For the foreign owner specifically, two further questions tend to sit underneath the technical ones. The first is documents: as noted, materials from abroad usually need legalisation or apostille and translation before they will be accepted here, and that preparation is a recurring feature of cross-border dealings, not a one-time hurdle. Building it into every timeline — for the incorporation and for later steps that touch foreign documents — avoids the familiar late scramble.

The second is presence and status. It is worth separating two things that are often confused: owning or directing a Belarusian company is not the same as having the right to live in Belarus, and the ability to run the company remotely does not, by itself, confer any residence status. A foreign owner who wants to actually be here — to spend time running the business on the ground rather than purely from abroad — has to arrange their temporary residence separately and deliberately; the shares do not carry it. The remote model and the residence question are two different tracks, and it helps to treat them as such.

The upshot for a foreign founder is a genuinely workable one. You can incorporate online, file and sign electronically, and run the back office of a Belarusian company from another country, with the EDS as the credential that makes it all legally real and a power of attorney to close the few physical gaps. What you cannot do is pretend the company has no physical anchor at all: it needs an address here, it will usually need you or a representative to deal with the bank and the signature at the outset, and your own right to be in the country, if you want it, is a separate matter. Understood that way, running a Belarusian company from abroad is not a loophole or a workaround — it is simply how the system is increasingly designed to work.

Frequently asked questions

Can I register a Belarusian company without coming to Belarus?

In large part, yes.
